These Terms & Conditions are a legally binding agreement between you and Popgrit LLC. Please read them carefully — by accessing or using any part of the Popgrit platform, you agree to be bound by them.

Chapter 1 — Definitions & Acceptance of Terms

1.1 The Agreement

These Terms and Conditions of Use ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and Popgrit LLC ('Popgrit', 'we', 'us', or 'our'). Popgrit operates a live marketplace at popgrit.com and via its associated mobile applications (collectively, the 'Site' and 'Services') that allows users to research, buy, and sell certain consumer goods. Your use of the Sites and Services will be subject to these Terms and by using them you agree to be bound by them. These Terms create a legal contract between you and us. Please read them carefully. We will collect and process personal data in accordance with our Privacy Policy at popgrit.com/privacy. By using our Sites and Services, or by clicking to accept these Terms, you accept and agree to be bound and abide by these Terms in full. If you do not agree to these Terms, do not use our Sites or any portion of the Services. IMPORTANT: For all purposes, the English version of the Terms shall be the original, binding instrument and understanding of the parties. In the event of any conflict between the English version of the Terms and any translation into any other language, the English version shall prevail and control.

1.2 Modifications to Terms

Popgrit may in our discretion change these Terms (including any FAQs or any policy) at any time, but if we do, we will place a notice on our Site. Your continued use of the Services following such notice constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and cancel your account. Our electronically or otherwise properly stored copies of these Terms and their revisions shall constitute the authoritative version.

1.3 Defined Terms

Services means all products, services, content, features, technologies, and functions offered by Popgrit through the Site and mobile applications. Marketplace means the live bid/ask trading platform operated by Popgrit. Buyer means any registered user who places a bid or uses the buy-now feature to purchase an item. Seller means any registered user who lists an item for sale or accepts a bid. Verified means an item that has passed Popgrit's authentication process. Linked Websites means third-party websites accessible via hyperlinks on the Site.

Chapter 2 — Eligibility & Account Registration

2.1 Eligibility

The Site may only be used by individuals and entities who can form legally binding contracts under applicable law. By using the Services, you represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction), that you have the legal capacity to enter into this agreement, and that you are not prohibited by any applicable law from using the Services.

2.2 Account Creation

Buyers and sellers must create an account to purchase or sell items on the Popgrit platform. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Popgrit immediately of any unauthorized use of your account.

2.3 One Account Per User

Opening multiple accounts for the same user or entity is strictly prohibited. Popgrit reserves the right to merge, suspend, or permanently close duplicate accounts and to cancel any associated transactions. This policy exists to protect the transparency and fairness of the Popgrit marketplace.

Chapter 3 — Marketplace Rules & Conduct

3.1 Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may browse listings, place bids, list items for sale, and complete transactions through the authorised channels provided by Popgrit.

3.2 Prohibited Activities

In addition to any other restrictions set out in these Terms, you agree NOT to engage in any of the following:  Using automated bots, scrapers, or similar technologies to access or copy pricing data, catalogue data, or any other proprietary information from the Popgrit platform. Popgrit considers all such data proprietary and confidential.  Attempting to manipulate market prices through coordinated buying and/or selling activity or any other means that distorts the organic marketplace.  Circumventing Popgrit's fees or processes by arranging transactions with other users outside of the Popgrit platform. All transactions must be completed through authorised channels.  Soliciting sales outside of Popgrit or contacting any user of the Services for commercial purposes unrelated to a legitimate transaction.  Engaging in any activity that could damage, disable, overburden, or impair Popgrit's infrastructure or interfere with any other party's use of the Services.  Violating any applicable local, state, national, or international law or regulation.  Uploading, transmitting, or distributing any content that is unlawful, defamatory, fraudulent, threatening, harassing, or otherwise objectionable.

3.3 User Content Licence

When you post, upload, or otherwise submit any content — including photos, item descriptions, reviews, or other materials — to the Popgrit platform, you grant Popgrit a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, display, reproduce, modify, adapt, publish, and distribute such content across Popgrit's platforms and marketing materials. You represent and warrant that you own or have the necessary licences, rights, consents, and permissions to grant the above licence, and that your content does not infringe any third-party intellectual property rights.

3.4 Enforcement

Popgrit reserves the right to investigate complaints or reported violations of these Terms and, to the extent permitted by applicable law, to take any action we deem appropriate. Although Popgrit services are generally anonymous and we do not share your information with other buyers and sellers, we may share information with law enforcement and professional advisers under an obligation of confidentiality as part of an investigation related to any alleged violation of

law or these Terms, in accordance with our Privacy Policy.

Chapter 4 — Buying on Popgrit

4.1 Binding Bids

When a buyer places a bid on the Popgrit platform, that bid constitutes a binding offer to purchase the relevant item at the stated price, subject to these Terms. If the buyer uses the 'buy now' feature — which automatically matches a buyer with a seller at the lowest available ask price — the buyer makes a binding offer to purchase the item at that price. Bids and buy-now purchases cannot be retracted once submitted.

4.2 Payment

Buyers must provide valid payment information prior to placing any bid or completing a buy-now purchase. Popgrit will charge the buyer's payment method upon successful matching of a bid with a seller. Payment processing fees may apply depending on the buyer's chosen payment method. Such fees will be disclosed at checkout.

4.3 Receipt & Delivery

Popgrit arranges the delivery of authenticated items to buyers following successful verification. Delivery times may vary. Popgrit is not responsible for delays caused by third-party couriers, customs authorities, or other factors outside our control. If a buyer refuses to accept delivery of a package sent to the address on file, Popgrit will consider the property abandoned after thirty (30) days and may charge the buyer Popgrit's reasonable expenses incurred due to such refusal.

4.4 Returns

All sales on Popgrit are generally final. Popgrit does not accept returns or exchanges except where required by applicable law. Buyers in certain jurisdictions may have statutory rights — including the right to return items within 14 days of receipt — and nothing in these Terms limits such rights where they apply by law. Any item valuations displayed through the Services are estimates only. Popgrit does not guarantee that any item will sell or that any estimated valuation is accurate.

Chapter 5 — Selling on Popgrit

5.1 Listing Items

Popgrit allows third-party sellers to list and sell their products in its live marketplace. Sellers' products will be made available for sale on all of Popgrit's Sites and mobile applications. Every item listed on Popgrit must be in new condition unless otherwise specified under applicable category guidelines.

5.2 Seller Responsibilities

By listing an item, you represent and warrant that: (a) you are the legal owner of the item or are otherwise authorised to sell it; (b) the item is authentic, as described, and in the stated condition; (c) the sale does not violate any applicable law, regulation, or third-party right; and (d) you will ship the item to Popgrit's verification facility promptly upon a sale being completed. Sellers are responsible for covering the cost of standard shipping to Popgrit for authentication. Sellers should factor applicable fees into the prices they set.

5.3 Seller Payouts

Upon successful authentication of a sold item, Popgrit will process the seller's payout in accordance with the payout schedule communicated on the platform. Popgrit deducts applicable selling fees prior to disbursement. In accordance with the Privacy Policy and only to the extent necessary to complete a transaction, you agree to provide Popgrit with all relevant tax information, which Popgrit may provide to any tax authority in connection with payments you receive. Your account may be suspended for failure to provide Popgrit with all relevant tax information required to support filings to the appropriate tax authority. After reaching applicable thresholds under local regulations, Popgrit may require sellers to complete enhanced identity and address verification before payouts are processed.

5.4 Abandoned Property

If a seller refuses to accept delivery of a package sent to the address on file, Popgrit will consider the property abandoned after thirty (30) days and may charge the seller Popgrit's reasonable expenses incurred due to such refusal to accept delivery.

5.5 Verified Seller Programme

The Popgrit Verified Seller Programme allows eligible sellers to ship items directly to the buyer after a sale is completed, bypassing Popgrit's central verification facility. Participation in this programme is subject to Popgrit's sole discretion and additional eligibility requirements as published on the platform.

Chapter 6 — Authentication & Verification

6.1 Popgrit Verification Process

Every item sold through the Popgrit marketplace (outside the Verified Seller Programme) is inspected by Popgrit's team of Verification Experts before delivery to the buyer. Popgrit leverages machine learning technology and proprietary methods to assess product authenticity and condition. Popgrit has inspected over 60 million items on behalf of its customers. As part of Popgrit's verification process, Verification Experts ensure that the product meets Popgrit's published condition guidelines and authenticity standards. Popgrit embeds evolving technologies within its verification process to continually improve accuracy and reliability.

6.2 No Absolute Guarantee

While Popgrit makes significant efforts to authenticate all items, Popgrit does not provide an absolute guarantee of authenticity. In the event a verified item is later determined to be inauthentic, please refer to Popgrit's published buyer protection policy for applicable remedies.

Chapter 7 — Fees, Payments & Taxes

7.1 Seller Fees

Popgrit charges sellers a transaction fee on each completed sale. Fee rates are as published on the Popgrit platform and may be updated from time to time with notice. Fees are deducted automatically from seller payouts prior to disbursement.

7.2 Buyer Fees

Buyers may be charged processing fees depending on the payment method selected. Additional shipping fees may apply if the buyer selects faster or premium delivery options. All applicable fees are disclosed at the time of purchase.

7.3 Taxes

You are solely responsible for determining, collecting, withholding, reporting, and remitting any taxes, duties, or other governmental levies applicable to your transactions on the Popgrit platform. Popgrit may collect and remit certain taxes as required by applicable law. In accordance with applicable regulations, Popgrit may request relevant tax information from sellers and may provide such information to tax authorities. Failure to provide required tax information may result in suspension of your account or withholding of payouts.

Chapter 8 — Intellectual Property

8.1 Popgrit Intellectual Property

All content, features, and functionality of the Popgrit platform — including but not limited to text, graphics, logos, icons, images, data compilations, software, and the selection and arrangement thereof — are the exclusive property of Popgrit LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Popgrit content without our prior written consent.

8.2 Pricing Data

All pricing data, historical transaction data, market trend data, and related analytics generated by or through the Popgrit platform constitute proprietary information of Popgrit. Accessing, scraping, copying, or distributing such data by automated or manual means without Popgrit's written authorisation is strictly prohibited.

8.3 Linked Websites

Popgrit disclaims all liability and makes no representations or warranties with respect to any products or services made available, sold, or provided to you by any third party through Linked Websites. Your use of Linked Websites and any purchases from such sites are subject to the terms and conditions of those sites. You agree that you will bring no suit or claim against Popgrit arising from or based upon any such use of Linked Websites. Hyperlinks to Linked Websites on the Popgrit platform do not imply any endorsement by Popgrit.

Chapter 9 — Disclaimers & Limitation of Liability

EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, POPGRIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PLATFORM AND ALL SERVICES, INCLUDING WITHOUT LIMITATION ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, RESULTS OF USE, RELIABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, AND ANY WARRANTIES OR CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. POPGRIT FURTHER DISCLAIMS ANY WARRANTY THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE. POPGRIT AND ITS LICENSORS SHALL NOT BE RESPONSIBLE OR LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR THE TERMS AND CONDITIONS RELATED THERETO UNDER ANY CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, WHETHER OR NOT ANY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF LOSS OR DAMAGE, (I) FOR ANY LOST PROFITS, LOSS OF USE, LOST OR CORRUPTED DATA, COMPUTER FAILURE OR MALFUNCTION, INTERRUPTION OF BUSINESS, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY; (II) FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUES AND LOSS OF PROFITS; OR (III) FOR ANY AMOUNTS WHATSOEVER.

9.1 Maximum Liability

To the fullest extent permitted by applicable law, Popgrit's aggregate liability arising out of or related to these Terms or your use of the Services shall not exceed the greater of: (a) the total fees paid by you to Popgrit in the twelve months preceding the event giving rise to the claim; or (b) one hundred US dollars ($100). Some jurisdictions do not allow the limitation or exclusion of certain warranties or liabilities. To the extent such limitations are not permitted in your jurisdiction, the applicable limitation shall apply to the maximum extent permitted by law.

Chapter 10 — Indemnification

10.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Popgrit LLC and its parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, employees, and successors from and against any and all claims, losses, damages, liabilities, judgements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of or access to the Popgrit platform or Services; (b) your breach of these Terms or any document incorporated by reference; (c) your violation of any applicable law or the rights of any third party; (d) any content you submit, post, or transmit through the Services; or (e) your negligence or wilful misconduct.

Chapter 11 — Dispute Resolution & Arbitration

PLEASE READ THIS CHAPTER CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Agreement to Arbitrate

You and Popgrit each agree that any and all disputes or claims that have arisen or may arise between you and Popgrit relating in any way to or arising out of these Terms or your use of or access to the Services shall be resolved exclusively through final and binding arbitration, rather than in court. Alternatively, you may assert your claims in small claims court, if your claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.

11.2 Arbitration Procedures

Arbitration shall be conducted by the American Arbitration Association ('AAA') under its applicable rules and procedures. The arbitrator shall have exclusive authority to resolve any and all disputes arising out of or relating to the Agreement to Arbitrate, other than issues related to the class action waiver. The arbitration will be conducted in a location determined by the arbitrator that is reasonably convenient for all parties, or at such other location as may be mutually agreed. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act and applicable statutes of limitations. Upon filing a demand for arbitration, all parties shall have the right of discovery, which shall be completed within sixty (60) days after the demand for arbitration is made, unless extended by mutual agreement.

11.3 Class Action Waiver

YOU AND POPGRIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is deemed invalid or unenforceable, the entirety of the arbitration provision shall be null and void. If any part of the arbitration provision other than the class action waiver is deemed invalid, unenforceable, or illegal, the balance of the arbitration provision shall remain in full force and effect.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in the State of Delaware.

Chapter 12 — Privacy & Data

12.1 Privacy Policy

Popgrit collects, uses, and processes personal data in accordance with our Privacy Policy, available at popgrit.com/privacy. By using the Services, you consent to the collection and use of your data as described in the Privacy Policy.

12.2 Data Collected

Popgrit collects personal information including but not limited to your name, address, email address, telephone number, payment details, date of birth, and device information such as IP addresses. The type of information collected varies based on your interaction with the platform — including account creation, purchasing or selling items, or simply browsing.

12.3 Data Sharing

Although the Services are generally anonymous and Popgrit does not share your information with other buyers and sellers, we may share your information with: law enforcement and professional advisers under an obligation of confidentiality as part of an investigation related to any alleged violation of law or these Terms; tax authorities as required by applicable law; and service providers who assist in operating the platform, subject to appropriate data protection obligations.

12.4 Your Rights

You have the right to access, modify, delete, and transfer your personal data. Subject to applicable law, you may exercise these rights through your account settings or by contacting Popgrit's data protection team at privacy@popgrit.com. All data transmissions between you and the Popgrit platform are encrypted using industry-standard security protocols.

Chapter 13 — Termination

13.1 Termination by Popgrit

We reserve the right to terminate these Terms, or to refuse, restrict, or discontinue access to or use of the Services (or any portions, components, or features thereof) to you or any other person or entity, if you are in breach of the Terms or for any reason or no reason whatsoever, at any time, without notice or liability. Save where otherwise permitted by applicable law, Popgrit will provide sellers and buyers with thirty (30) days' notice of termination of the whole of the Services.

13.2 Termination by You

You may terminate your account at any time by following the account deletion process described in the platform settings. Termination does not affect any rights or obligations that have arisen prior to the date of termination, including any pending transactions or outstanding fees.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Chapter 14 — General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, any applicable FAQs, and any other policies or guidelines published on the Popgrit platform, constitute the entire agreement between you and Popgrit with respect to the Services and supersede all prior agreements, representations, and understandings.

14.2 Severability

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

14.3 No Waiver

Popgrit's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Popgrit's prior written consent. Popgrit may freely assign its rights and obligations under these Terms without restriction.
